Ashurst advised IKB Deutsche Industriebank AG (IKB) on the financing of the acquisition of return systems specialist Vfw GmbH (Vfw) by Reclay Holding GmbH. The aim of the transaction is the strategic expansion of the Reclay Group product portfolio as well as to safeguard a relevant company size in the dual systems market. The acquisition was carried out by way of a capital raise by way of contribution in kind. In the course of the transaction, the previous shareholder of Vfw, Reverse Logistics GmbH, becomes a minority shareholder of Reclay Holding GmbH. The acquisition is subject to approval under cartel law.
