On June 23, 2014, Wisconsin Energy Company and Integrys Energy Group, Inc. announced that they have entered into a definitive merger agreement under which Wisconsin Energy will acquire Integrys in a transaction valued at USD9.1 billion. Cravath represented Integrys in connection with this transaction, which has been unanimously approved by the boards of directors of both companies and is expected to close in the summer of 2015, subject to receipt of shareholder and regulatory approvals and satisfaction of other customary closing conditions.
