Davis Polk advised Merrill Lynch, Pierce, Fenner & Smith Incorporated and J.P. Morgan Securities LLC as joint book-running managers in connection with the initial public offering of 7,187,500 shares of common stock of Carbonite, Inc. for an aggregate offering size of approximately $71.9 million. Carbonite sold an aggregate of 6,303,973 shares, including 937,500 shares pursuant to the full exercise of the underwriters' over-allotment option, and certain selling shareholders sold an aggregate of 883,527 shares. The shares are listed on the Nasdaq Global Market under the symbol "CARB."
