Simpson Thacher represented TPC Group Inc. ("TPC"), as part of the acquisition of TPC by affiliates of First Reserve Management, L.P. and SK Capital Partners (collectively, the "Sponsors"), in connection with its Rule 144A and Regulation S offering of USD655 million aggregate principal amount of 8.75 per cent Senior Secured Notes due 2020. TPC also entered into a new USD250 million asset-backed revolving credit facility.
